Terms of Service

These terms govern your use of the GV Prime Enterprise website, our client portal, and any Microsoft subscriptions you buy through us. By using this website or the portal, you agree to them. If you are agreeing on behalf of a company, you confirm you are authorised to do so.
1. Who We Are
GV Prime Enterprise is a Philippine information technology company and a Microsoft Cloud Solution Provider (CSP). We supply Microsoft licensing and deliver related consulting, migration, and managed services. Our registered address is 3rd Flr. Dona Victoria Bldg, San Juan 1, Noveleta, Cavite, 4105, Philippines.
2. What These Terms Cover, and What They Don't
These terms cover your use of this website and the client portal. They are not the agreement under which we deliver paid work.
Professional services, managed services, and licensing engagements are governed by a separate written service agreement, statement of work, or service level agreement signed by both parties. Where that signed agreement differs from anything on this page, the signed agreement controls. Nothing here reduces rights you have under it.
3. Using This Website
You agree not to:
- Use the site or portal for anything unlawful, or in breach of Philippine law
- Attempt to gain unauthorised access to any system, account, or data
- Probe, scan, or test the security of our infrastructure without written permission
- Interfere with or disrupt the service, or introduce malicious code
- Scrape or harvest content or data at scale without our consent
If you believe you have found a security vulnerability, please tell us at admin@gvprime.com rather than disclosing it publicly. We will not pursue action against good-faith reports that avoid privacy violations and service disruption.
4. Accounts and Portal Access
Some areas require an account. You are responsible for keeping your credentials confidential and for activity under your account. Tell us promptly if you suspect unauthorised access so we can help secure it.
We may suspend access where we reasonably believe an account is compromised, is being used in breach of these terms, or where required by law or by Microsoft.
5. Microsoft Subscriptions and Third-Party Products
Microsoft licensing bought through us is also subject to Microsoft's own terms, including the Microsoft Customer Agreement and the product terms for each service. By purchasing through us you accept those terms. Some commitments come from Microsoft and we cannot waive them:
- Term and billing frequency are separate. An annual term is a 12-month commitment even where you have chosen to be invoiced monthly. Paying monthly does not shorten the committed term.
- Cancellation and licence reductions are time-limited. Under Microsoft's current rules, subscriptions may generally only be cancelled, or licence counts reduced, within seven (7) calendar days of purchase, renewal, or adding licences. After that window, the subscription runs to the end of its term.
- Seat counts can go up, not down, mid-term. You may add licences to an annual term at any time; reductions below the committed count take effect at renewal.
- Subscriptions renew automatically unless auto-renewal is changed before the renewal date.
We will tell you which term applies before you commit. Microsoft may change its commercial terms from time to time; where it does, the current Microsoft terms apply. We impose no separate exit fee or lock-in of our own. See our licensing FAQ.
Your Microsoft tenant and your data remain yours. If you move to another partner or direct to Microsoft, we will release the subscriptions and assist with handover, subject to any commitment already running.
6. Fees, Invoicing, and Taxes
Prices published on this website are indicative starting prices in Philippine pesos and are not an offer. The price for any engagement is the one confirmed in writing.
Subscriptions are invoiced in advance according to the billing frequency agreed. Invoices are payable by the due date stated on them. Amounts are subject to VAT and any other taxes properly due. Where a client is required by law to withhold tax, the client will provide the corresponding certificate.
We may suspend services or subscriptions for accounts that remain unpaid after written notice and a reasonable opportunity to settle.
7. Intellectual Property
The content, branding, and materials on this website belong to GV Prime Enterprise or our licensors and may not be copied or reused commercially without permission.
Ownership of deliverables produced in a paid engagement is set out in the relevant signed agreement. Your data, and your Microsoft tenant, remain yours. Microsoft, Azure, Dynamics 365, and related marks are trademarks of Microsoft Corporation; AWS marks are trademarks of Amazon Web Services, Inc. We claim no ownership of them.
8. Confidentiality
Information you share with us in the course of an enquiry or engagement that is confidential in nature is treated as confidential, used only to provide and support our services, and shared only with people who need it to do that work, or where the law requires disclosure. Where a signed non-disclosure or service agreement is in place, its confidentiality terms apply.
9. Availability and Disclaimers
We work to keep this website and the portal available, but they are provided on an "as is" and "as available" basis. We do not warrant uninterrupted or error-free operation of the website. Availability commitments for paid services, where they exist, are set out in the applicable service level agreement.
Content on this website is general information, not professional, legal, tax, or accounting advice, and should not be relied on as the basis for a decision without advice specific to your circumstances. Microsoft services themselves are operated by Microsoft and subject to Microsoft's own service commitments.
10. Limitation of Liability
To the fullest extent permitted by Philippine law, GV Prime Enterprise is not liable for indirect, incidental, or consequential loss, or for loss of profits, revenue, data, or business opportunity, arising from use of this website.
Liability arising in connection with a paid engagement is governed by the limits set out in the relevant signed agreement. Nothing in these terms excludes liability that cannot lawfully be excluded, including liability for fraud, wilful misconduct, or gross negligence.
11. Privacy
Our handling of personal data is described in our Privacy Policy, and our use of cookies and similar storage in our Cookie Policy. Both form part of these terms.
12. Changes to These Terms
We may update these terms as our services or the law change. The current version is always posted here with a revised "Last Updated" date. Material changes affecting an active engagement will be communicated directly rather than by silent update.
13. Governing Law
These terms are governed by the laws of the Republic of the Philippines. The courts of Cavite, Philippines have jurisdiction over any dispute, without prejudice to any dispute-resolution process agreed in a signed service agreement. We would always rather resolve a problem by talking to you first.
